Terms

Last updated: September 17, 2026

These terms govern the use of the website sondescan.com and of the Sonde platform, which the Operator provides exclusively as a hosted subscription service (software as a service). By using these offerings you accept these terms. The offering is directed at businesses, public bodies and professionals (B2B), not at consumers.

1. Scope

These terms apply between you and the Operator, dunedive LLC Limited Liability Company (Wyoming, USA). They cover the public website and the hosted Sonde service. Diverging or additional terms, in particular a customer's own purchasing conditions, only apply if agreed in writing.

2. Service description

Sonde is provided exclusively as a hosted software service (software as a service) operated by the Operator on servers in a German data center. The scope of functions of the booked plan follows the description on the pricing page at the time of the order. The Operator provides hosting, operation, backups and updates of the service; the customer needs only a current browser and an internet connection. There is no delivery of software, no installation at the customer and no self-hosted edition.

3. Software license (EULA)

For the term of the contract, the Operator grants the customer a non-exclusive, non-transferable, non-sublicensable right to access the hosted service and to use it for the customer's own internal business purposes through the booked user accounts. No rights to the source code are granted.

The customer must not reverse engineer, decompile or disassemble the software except to the extent mandatory law permits this despite this clause; must not rent out, resell, sublicense or otherwise make the service available to third parties outside the customer's own organisation; must not circumvent usage limits or access controls; and must not use the service to build a competing product. All rights not expressly granted remain with the Operator.

4. Trial, plans, payment and termination

Every new customer company can test the service once, free of charge, for 14 days (trial). No payment details are required for the trial; the trial ends automatically and does not convert into a paid subscription by itself.

Paid plans are billed in advance for the chosen billing period (monthly or annually) at the prices shown on the pricing page at the time of the order. Prices are stated in US dollars; the payment provider, acting as merchant of record, may charge the equivalent amount in the customer's local currency. Recurring add-on modules are billed in advance for their billing period in the same way. If a payment is not made when due, access continues for a grace period of seven days from the due date, during which Plan & Billing in the service shows the open payment; after that, the Operator may suspend access until payment is received. Statutory rights regarding default remain unaffected.

The subscription can be terminated by either party with effect from the end of the current billing period (monthly or annual); no reasons need to be given. Access ends at the end of the paid period. The right of both parties to terminate for good cause remains unaffected.

Before the end of the contract, the customer can export its data (projects, reports, inspection data) using the export functions of the service. After the end of the contract, the Operator will delete the customer's data in accordance with the privacy policy and statutory retention duties.

5. Acceptable use

You must not use the website or a hosted console unlawfully, must not attempt to disrupt, overload or gain unauthorised access to the systems, must not upload malicious code, and must respect third-party rights and applicable law. We may suspend access in case of misuse.

6. Availability and maintenance

The Operator provides the service with reasonable commercial efforts and aims for high availability, but does not warrant uninterrupted availability. Planned maintenance windows are announced in advance where reasonably possible and are scheduled outside usual business hours where feasible. Downtime caused by planned maintenance, by circumstances outside the Operator's control or by the customer does not constitute a defect of the service.

7. Standards coverage and AI assistance

Sonde supports coding and exports per EN 13508-2, DWA-M 149 and ISYBAU. This is honest functional support and not a certified conformance: ISYBAU XML exports are validated server-side against the official ISYBAU XML-2017 schema (bfr-abwasser XSD) before delivery, but no third-party certification is claimed. AI features are generic-but-pluggable: any AI suggestion is an assistance step that must be confirmed by a human before it becomes part of a record. You remain responsible for the correctness of your inspection results, codings and reports.

8. Disclaimer Coding Standards and Certification

The software is intended solely for the documentation and reporting of sewer and pipe inspections. It supports the European standard EN 13508-2 as well as a mapping to common North American coding schemes for documentation purposes only.

SondeScan is expressly NOT certified software within the meaning of NASSCO (PACP, LACP, MACP) and is not marketed or sold as such. There is no certification, licensing, or partnership with the National Association of Sewer Service Companies (NASSCO). All trademarks referenced are the property of their respective owners.

For inspections requiring certified data collection (e.g. certain US municipal tenders), the use of appropriately certified software is required. Responsibility for compliance with project- or client-specific certification requirements rests with the user.

9. Invoicing formats

Where invoicing features are used, Sonde can render Swiss QR-bill and XRechnung output. You are responsible for the factual and legal correctness of the invoices you issue.

10. Warranty and liability

To the maximum extent permitted by applicable law between businesses, the Operator's liability is limited as follows: liability for indirect and consequential damages, in particular lost profits, loss of business, loss of data beyond the restore effort from the Operator's backups, and interruption of business, is excluded. For all other damages, the Operator's total liability per contract year is limited to the fees the customer actually paid for the service in the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot be limited by law, in particular for intent, gross negligence, injury to life, body or health, under mandatory product-liability law or under other mandatory statutory liability. Where liability is not excluded, it is limited to the typical damage foreseeable at the conclusion of the contract.

11. Applicable law and venue

Governing law and venue: these terms and every contract concluded under them are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue for all disputes is Sheridan County, Wyoming, USA; the Operator may additionally bring claims at the customer's registered seat. The offering is directed at businesses (B2B). Where mandatory consumer-protection or data-protection provisions of your country of residence apply despite this, they remain unaffected.

12. Changes to these terms

We may amend these terms where necessary, for example to reflect changes to the offering or the law. The current version is published on this page; the date above shows when it last changed. Your continued use after a change takes effect counts as acceptance of the amended terms.
